General Terms and Conditions of Ctrl GmbH

These terms are available in German (below the English). The English version, however, is a translation for information purposes only. In case of doubt or discrepancies, the German version prevails.

Ctrl GmbH (hereinafter "Ctrl") is a concept studio that develops, designs and produces digital and physical products for businesses and institutions. Ctrl focuses on strategy, design, prototyping, implementation and the technical operation of websites, printed matter, branding systems and 3D components—always with a functional and clear approach.

These General Terms and Conditions (hereinafter "GTC") apply to all services provided by Ctrl and to all contractual and business relationships in connection therewith between Ctrl and Ctrl’s customers (hereinafter individually the “Client” and jointly the "Clients").

The GTC form the exclusive legal basis for Ctrl’s services. They apply to entrepreneurs as defined in §14 BGB, i.e., natural or legal persons or partnerships with legal capacity who act in the context of their commercial or professional activities. The GTC also apply to all future assignments, even if not explicitly agreed again.

Deviating terms and conditions of the Client shall only apply if confirmed in writing by Ctrl. Any deviations or changes to these GTC must also be agreed in writing. Verbal side agreements are only valid if confirmed in writing.

Ctrl’s offers are non-binding unless explicitly stated otherwise. A contract is only concluded once Ctrl confirms an order in writing, by e-mail or through the commencement of service provision. Ctrl may refuse or withdraw from an order if required information or cooperation from the Client is not provided in a timely manner.

The type and scope of Ctrl’s services are defined in the respective offer and, if applicable, in a project-specific concept. Ctrl retains creative and technical freedom in implementing the assignment unless otherwise contractually specified.

Ctrl is entitled to involve third parties or subcontractors in the performance of its services. Ctrl is also entitled to adjust service components if such changes are necessary for the execution of the contract and are reasonable for the Client.

Ctrl remains the sole holder of all rights to drafts, concepts, designs, prototypes, media and other work results unless otherwise explicitly agreed. Upon full payment of all agreed fees, Ctrl grants the Client the necessary rights of use as defined in the contract. Any further use or transfer to third parties requires written consent.

Ctrl shall be liable in accordance with statutory provisions only for damages caused intentionally or through gross negligence, or due to injury to life, body or health. In the event of minor negligence, Ctrl is only liable for breaches of essential contractual obligations and only to the extent of foreseeable damages.

Ctrl may name the Client and show the developed results (including visual media) in its portfolio, on its website and for self-promotion, unless otherwise agreed.

Jurisdiction and place of performance is the registered office of Ctrl GmbH. German law applies exclusively.
